NowRPM TERMS & CONDITIONS

These Terms and Conditions (“Terms”) form a binding agreement between you (“you,” “your”) and Softbir, LLC, doing business as NowRPM (“NowRPM,” “we,” “our,” or “us”). These Terms govern your access to and use of the NowRPM mobile application, web application, and clinical portal (collectively, the “Platform”).

By accessing or using the Platform, you acknowledge and agree that you have read, understood, and accepted these Terms as well as the NowRPM Privacy Policy, available at www.nowrpm.com. If you do not agree to these Terms, you must discontinue use of the Platform immediately.

1. Purpose of the Platform

The NowRPM Platform is designed to support remote patient monitoring, clinical communication, health data tracking, and treatment management. The Platform may provide health metrics, educational content, questionnaires, and communication tools for users and authorized healthcare providers.

The Platform does not provide medical advice and is not a replacement for professional diagnosis or treatment. Clinical decisions must be made by licensed healthcare professionals.

2. Eligibility

You may use the Platform only if you meet all requirements:

  • You are at least 18 years old, or
  • You are using the Platform with the consent and oversight of a parent or legal guardian, or
  • You are a licensed clinician or healthcare entity with proper authorization.

By using the Platform, you represent that all information provided for registration is truthful and accurate.

3. Modifications to These Terms

NowRPM may revise these Terms at any time. Updates become effective immediately when posted. Continued use of the Platform after changes indicates your acceptance of the revised Terms.

4. Accessing the Platform

We reserve the right to update, modify, suspend, or discontinue any part of the Platform without notice. We are not liable if any part of the Platform is unavailable at any time.

You are responsible for:

  • Ensuring your device and internet connection are functioning properly
  • Maintaining the confidentiality of your login information
  • Ensuring others accessing the Platform through your account comply with these Terms

5. User Accounts and Security

You may be required to create an account. You agree to:

  • Provide accurate and updated information
  • Maintain the confidentiality of your username and password
  • Notify NowRPM immediately of unauthorized access or security issues
  • Log out after each session

NowRPM may suspend or terminate your account at any time for violating these Terms.

6. Data Protection and Privacy

All information collected through the Platform is governed by the NowRPM Privacy Policy. By using the Platform, you consent to NowRPM’s collection and processing of your information in accordance with applicable privacy laws, including HIPAA when required.

7. Informational Use Only

Any insights, readings, or outputs from the Platform are for informational purposes only and do not replace medical guidance. Always consult a licensed healthcare professional for decisions related to diagnosis, treatment, or medication.

8. Third-Party Integrations and Links

The Platform may integrate with third-party applications, devices, or systems. NowRPM is not responsible for the accuracy, practices, or security of third-party services. Your use of such services is subject to their own terms and privacy policies.

9. Intellectual Property Rights

The Platform and all content within it—including text, graphics, software, data, interfaces, and design—are owned by NowRPM or its licensors.

You agree not to:

  • Copy, reproduce, or distribute Platform content
  • Reverse-engineer or decompile the Platform
  • Create derivative works
  • Use the Platform for commercial purposes without written permission

10. Prohibited Conduct

You may not use the Platform to:

  • Violate any applicable law
  • Upload harmful, malicious, or unauthorized content
  • Interfere with Platform functionality or security
  • Impersonate another person or entity
  • Use automated tools to access Platform data

11. User-Generated Content

You may submit information such as journal entries, clinical responses, or messages (“User Content”). By submitting content, you grant NowRPM a license to store and process it solely for providing the Platform’s services.

You are responsible for ensuring you have the rights to all content you upload.

12. Platform Updates

NowRPM may release updates to improve features, security, or performance. Some updates may be required for continued use of the Platform.

13. Disclaimer of Warranties

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE.” NOWRPM MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO ACCURACY, RELIABILITY, SECURITY, OR FITNESS FOR A PARTICULAR PURPOSE.

We do not guarantee that:

  • The Platform will be error-free or uninterrupted
  • Data will be accurate or complete
  • The Platform or servers are free of viruses or harmful components

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NOWRPM AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE PLATFORM.

NOWRPM’S TOTAL LIABILITY SHALL NOT EXCEED $1.00 USD.

15. Indemnification

You agree to indemnify and hold NowRPM harmless from any claims, damages, or losses arising from your use of the Platform or violation of these Terms.

16. Termination

NowRPM may suspend or terminate your access to the Platform at any time for any reason. Upon termination, your right to use the Platform ends immediately.

17. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles.

18. Dispute Resolution & Arbitration

Any dispute arising out of these Terms or the Platform shall be resolved through binding individual arbitration. You waive your right to participate in class actions, jury trials, or consolidated claims.

19. Severability

If any provision of these Terms is determined to be invalid, the remaining provisions will remain in effect.

20. Entire Agreement

These Terms and the NowRPM Privacy Policy constitute the complete agreement between you and NowRPM.
